Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between Plexe AI Ltd ("Plexe AI", "Plexe", "we", "us", or "our"), a company registered in England and Wales with company number 16210488, and you or the entity you represent ("Customer", "you", or "your"). These Terms govern your access to and use of Plexe's AI platform and related services ("Services", defined further below).

By accessing or using the Services, registering an account, or browsing our website located at www.plexe.ai ("Website"), you acknowledge and agree to be bound by these Terms from the date you first access or use the Services ("Effective Date"). If you disagree with any part of these Terms, you must not access or use the Services.

If you accept these Terms on behalf of an entity (such as your employer or a company you represent), you confirm that you have the necessary authority to legally bind that entity and its affiliates. In this case, the terms "Customer", "you", or "your" refer collectively to you and the entity you represent.

We may update, modify, or replace these Terms at our discretion. We will inform you of any changes by publishing the revised Terms at www.plexe.ai/terms-of-service and notifying you via email. Your continued use of the Services after such notification will indicate your acceptance of the updated Terms. If you do not agree to these changes, you must cease using the Services immediately.

Please read these Terms carefully, as they include important information about your rights, obligations, and limitations of our liability. Capitalised terms used but not defined inline are provided in the "Definitions" section below.

1. Definitions
  1. “Acceptable Use Policy” means the policy available at www.plexe.ai/acceptable-use-policy, which sets out permitted and prohibited uses of the Services.

  2. “Account” means the user account you create to access and use the Plexe AI Services.

  3. “AI Models” means artificial intelligence models, applications, and services built, configured, trained, deployed, or managed by you, for your own use, using the Platform.

  4. “AI Output” means any data, prediction, synthetic content, or other result generated by or through your use of AI Models on the Platform.

  5. “Confidential Information” means all information marked as confidential or that should reasonably be understood to be confidential, including trade secrets, proprietary technologies, business plans, Your Content, and any other non-public information disclosed during your use of the Services.

  6. “Credits” means pre-purchased units used to access compute resources and related services on the Platform.

  7. “Customer”, “you”, or “your” means you individually, or the entity you represent, as specified during account creation or Service subscription.

  8. “Data Processing Agreement” or “DPA” means the agreement located at www.plexe.ai/dpa, which governs the processing of Personal Data by Plexe AI on your behalf.

  9. “Effective Date” means the date on which you first access or use the Services, thereby agreeing to these Terms.

  10. “Feedback” means suggestions, ideas, comments, improvements, or other feedback provided by you regarding Plexe AI or the Services.

  11. “Paid Services” means any portion of the Services requiring payment or subscription as outlined on the Website or agreed upon separately.

  12. “Personal Data” means any information relating to an identified or identifiable natural person, as defined under applicable data protection laws.

  13. “Platform” means Plexe AI’s hosted platform, accessible via www.console.plexe.ai and APIs, through which users can build, train, deploy, manage, and use AI Models.

  14. “Privacy Policy” means the policy available at www.plexe.ai/privacy-policy, which governs how Plexe AI collects, uses, and protects your personal data when you use our Services.

  15. “Services” means Plexe AI’s platform, including any features, functionalities, AI Models, datasets, inference APIs, managed infrastructure, and support services provided on a reasonable-effort basis to users as described in these Terms.

  16. “Subscription” means a recurring monthly payment arrangement to purchase Credits as described in section 5.3.

  17. “Website” means Plexe AI’s website accessible at www.plexe.ai, including all related webpages and resources.

  18. “Your Content” means datasets, databases, machine learning models, synthetic data, predictions, and other materials you upload, create, connect, or generate using the Plexe AI Services.

2. Services

2.1 Service Description

Plexe AI provides an AI platform that enables you to build, train, deploy, manage, and use artificial intelligence models, applications, and services ("AI Models") through our hosted interface ("Platform"). Our Services include access to AI Models, datasets, inference APIs, managed infrastructure for AI deployments, and support services provided on a reasonable-effort basis (collectively, the "Services").

2.2 Licence Grant

Plexe AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services and any related documentation solely for your internal business purposes and subject to these Terms.

2.3 Service Modifications

We reserve the right to modify, enhance, suspend, or discontinue any aspect of the Services at our sole discretion, at any time, with or without notice. Plexe AI shall not be liable to you or any third party for any modifications, enhancements, suspensions, or discontinuance of the Services.

2.4 Paid Services

Your access to certain Services may require additional fees or subscriptions as described clearly on our Website or via separate agreement ("Paid Services"). Usage of Paid Services is governed by the terms set out in the relevant payment section and applicable order forms or agreements.

2.5 Service Availability

We will use commercially reasonable efforts to ensure continuous availability and security of the Services but cannot guarantee uninterrupted, error-free, or secure operation. Planned maintenance periods will be communicated in advance where feasible. Unless otherwise agreed in a separate Order Form, no specific uptime or service level commitments apply.

2.6 Beta and Experimental Features

Plexe AI may offer access to features, tools, or services marked as "beta", "experimental", or similar. These are provided for evaluation purposes only, may be modified or removed at any time, and may not be as reliable or secure as other parts of the Services. You use such features at your own risk.

2.7 Support

While we do not guarantee any specific support response times or service levels, we aim to assist you with any issues or questions related to the Services on a reasonable-effort basis during UK business hours. Support requests should be sent via email to support@plexe.ai.

2.8 API Access

If you access the Services via public APIs provided by Plexe AI, you agree to use them in accordance with any published documentation and rate limits. We reserve the right to suspend or revoke API access at any time for misuse, excessive usage, or breach of these Terms.

3. Your Account

3.1 Account Creation
To access and use certain features of the Services, you must create an account ("Account"). By creating an Account, you agree to provide accurate, current, and complete information about yourself or your organisation. You must maintain and promptly update your Account information to ensure it remains accurate and complete.

3.2 Account Security
You are responsible for maintaining the confidentiality of your Account login details, including usernames, passwords, and any other access credentials. You must notify Plexe AI immediately of any unauthorised use or suspected breach of your Account security.

3.3 Account Responsibility
You are solely responsible for all activities occurring under your Account, whether or not such activities are authorised by you. Plexe AI will not be liable for any loss or damage arising from your failure to safeguard your Account information.

3.4 Age Requirement
You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) to create an Account and use our Services. By creating an Account, you represent and warrant that you meet this requirement.

3.5 Account Suspension and Termination
We reserve the right, at our sole discretion, to suspend, restrict, or terminate your Account or access to the Services at any time if we reasonably suspect or determine that you have violated these Terms or engaged in fraudulent, harmful, or illegal activities.

3.6 Acceptable Use
You must comply with our Acceptable Use Policy, which governs permitted uses of the Services. Failure to comply may result in suspension or termination of your Account.

4. Your Content

4.1 Content
You retain ownership of all content you upload, create, connect, or generate using the Services ("Your Content"), including datasets, databases, machine learning models, and any AI Output. Plexe AI does not claim any ownership rights in Your Content.

4.2 Licence to Plexe AI
By uploading, creating, connecting, or generating Your Content through the Services, you grant Plexe AI a worldwide, non-exclusive, royalty-free licence to access, host, store, reproduce, process, and use Your Content solely to:

  • Provide, operate, maintain, and secure the Services;

  • Enable your use of the Services and related functionality;

  • Monitor and enforce compliance with these Terms and applicable laws; and

  • Improve the Services, excluding any use of Personal Data unless explicitly permitted by you or required by law.

This licence is not sublicensable or transferable except:

  1. To our subprocessors and service providers, solely as necessary to provide the Services in accordance with our Data Processing Agreement; or

  2. In connection with a merger, acquisition, corporate restructuring, or sale of all or part of our business.

This licence does not grant us any rights to exploit Your Content for unrelated commercial purposes.

4.3 Your Responsibilities
You represent and warrant that you have all necessary rights, consents, and permissions to upload, create, connect, or generate Your Content through the Services, and that Your Content:

  • Does not infringe, misappropriate, or violate any intellectual property rights, privacy rights, or other rights of any third party;

  • Is not illegal, harmful, abusive, offensive, defamatory, obscene, or otherwise objectionable;

  • Complies with all applicable laws and regulations, including data privacy laws.

You are solely responsible for Your Content, including its legality, accuracy, and appropriateness.

4.4 Content Removal and Moderation
Plexe AI reserves the right, but is not obligated, to review or restrict access to Your Content at our sole discretion if we reasonably believe such content violates these Terms or applicable laws, or if requested by legal authorities.

4.5 Confidentiality of Your Content
We will take commercially reasonable measures to safeguard and maintain the confidentiality of Your Content that you explicitly designate as private or confidential within the Services, in accordance with our Privacy and Confidentiality terms.

4.6 No Liability for Your Content
To the extent permitted by law, Plexe AI shall not be liable for any loss, damage, or claim arising from or related to Your Content, including but not limited to the use, accuracy, legality, or appropriateness of Your Content.

5. Payment

5.1 Payment Methods
All payments for Plexe AI Services are processed via our payment partner, Stripe, integrated into our web user interface. By providing your payment details, you authorise us and Stripe to process payments in accordance with these Terms and Stripe’s terms of service.

5.2 Credit-Based Payments
You can pre-purchase credits ("Credits") through the Platform. Credits are used to access compute resources and related services provided by Plexe AI. Credits purchased are non-refundable and non-transferable.

5.3 Subscription Payments
You may choose to set up a monthly subscription to automatically purchase a specified number of Credits each month. Subscription payments will be automatically charged to your designated payment method until cancelled by you. You can manage or cancel your subscription at any time through your account settings.

5.4 Pay-as-You-Go Billing
You have the option to enable pay-as-you-go billing ("PAYG") on your account. If enabled, any usage of compute resources or services exceeding your available Credits will be billed monthly to your designated payment method.

5.5 Billing and Invoicing
Payments for subscription services and PAYG charges will be invoiced and billed monthly in arrears. You are responsible for ensuring your payment method is accurate, valid, and has sufficient funds.

5.6 Taxes
All charges and payments exclude applicable taxes unless otherwise specified. You are responsible for paying all applicable taxes, duties, or other governmental charges associated with your use of the Services.

5.7 Payment Failure
In the event of payment failure, we reserve the right to suspend your access to the Services until payment is successfully processed. Persistent payment failures may lead to termination of your account.

6. Termination

6.1 Termination by You
You may close your account and terminate your use of the Plexe AI Services at any time via your account settings or by contacting our support team. Upon termination, your right to access and use the Services will immediately cease.

6.2 Termination by Plexe AI
Plexe AI reserves the right to suspend or terminate your account and access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in illegal activities, or for any other reason at our sole discretion.

6.3 Effects of Termination
Upon termination of your account:

  • Any outstanding payments owed to Plexe AI will remain payable and must be settled promptly.

  • Any Credits previously purchased or obtained will be forfeited and will not be refunded.

  • Your access to Your Content hosted on the Platform will cease. You are responsible for exporting or downloading Your Content prior to termination, if desired.

6.4 Survival
Termination of your account will not affect provisions of these Terms that, by their nature, should survive termination, including but not limited to payment obligations, intellectual property rights, confidentiality obligations, liability limitations, indemnification, and warranty disclaimers.

7. Privacy and Confidentiality

7.1 Privacy
Your privacy is important to us. Plexe AI processes your personal data in accordance with our Privacy Policy. By using the Services, you consent to such processing and warrant that all data provided by you is accurate. If you are an individual located in a jurisdiction that grants specific legal rights regarding your personal data (such as access, correction, deletion, or restriction), you may exercise those rights in accordance with applicable laws by contacting us at privacy@plexe.ai.

7.2 Confidentiality
Both you and Plexe AI agree to treat as confidential all information marked as confidential or reasonably understood to be confidential ("Confidential Information") obtained during your use of the Services. Confidential Information includes but is not limited to Your Content, trade secrets, proprietary technologies, business plans, and any other non-public information.

7.3 Exclusions
The obligations of confidentiality shall not apply to information that:

  • Was publicly known or available prior to disclosure;

  • Becomes publicly known or available without breach of these Terms;

  • Is disclosed to the receiving party by a third party without a breach of confidentiality obligations;

  • Is independently developed by the receiving party without reference to Confidential Information; or

  • Is required to be disclosed by law, regulation, or court order, provided the disclosing party gives prompt written notice to the other party to enable it to seek a protective order.

7.4 Security Measures
Plexe AI shall implement reasonable security measures designed to protect Confidential Information against unauthorized access, disclosure, alteration, or destruction.

7.5 Survival
These confidentiality obligations shall survive termination or expiration of your account and these Terms for a period of five (5) years, except for information constituting trade secrets, which shall remain confidential indefinitely.

7.6 Data Processing Agreement (DPA)
If you process personal data using the Services, our Data Processing Agreement (DPA) applies and is incorporated by reference into these Terms. The DPA reflects requirements under applicable data protection laws, including the UK GDPR, EU GDPR, the Indian Digital Personal Data Protection Act (DPDPA), and US state laws where relevant. The current version of the DPA is available at www.plexe.ai/dpa.

8. Intellectual Property

8.1 Your Intellectual Property
You retain all intellectual property rights in and to Your Content, including datasets, machine learning models, synthetic data, predictions, and any other materials created or provided by you through the Services. Plexe AI does not claim ownership of any intellectual property rights in Your Content.

8.2 Plexe AI's Intellectual Property
Plexe AI retains exclusive ownership of all intellectual property rights related to the Platform, Services, technology, software, documentation, designs, trademarks, logos, and any improvements, modifications, or derivative works thereof. Nothing in these Terms grants you ownership or rights to Plexe AI’s intellectual property beyond the limited licence provided for accessing and using the Services.

8.3 Licence Restrictions
You agree not to:

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our explicit written consent;

  • Modify, reverse engineer, disassemble, or attempt to derive the source code or underlying algorithms of the Platform or Services;

  • Use Plexe AI's intellectual property for any purpose other than as expressly authorised by these Terms.

8.4 Feedback
If you provide feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant Plexe AI a perpetual, irrevocable, royalty-free, worldwide, and sublicensable right to use, disclose, reproduce, modify, distribute, and commercialise such Feedback in any manner without any obligation or compensation to you.

8.5 Protection of Intellectual Property
You agree to promptly notify Plexe AI of any known or suspected infringement of our intellectual property rights and cooperate with Plexe AI in enforcing and defending these rights.

9. Liability

9.1 Limitation of Liability
To the fullest extent permitted by applicable law, Plexe AI, its affiliates, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses arising out of or relating to your use or inability to use the Services.

9.2 Aggregate Liability Cap
In no event will Plexe AI's total liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the greater of (a) the total amount you have paid to Plexe AI in the three (3) months preceding the event giving rise to such liability, or (b) £1,000.

9.3 Exceptions
Nothing in these Terms shall exclude or limit Plexe AI’s liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

9.4 Acknowledgement
You acknowledge that Plexe AI has entered into these Terms relying on the limitations of liability stated herein, and these limitations reflect an essential part of the bargain between you and Plexe AI.

10. Indemnification

10.1 Indemnification by You
You agree to indemnify, defend, and hold harmless Plexe AI, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms or applicable laws and regulations;

  • Your misuse of the Services;

  • Your Content, including any infringement or alleged infringement of any third party's intellectual property rights or other rights arising from your Content;

  • Any claims brought by third parties arising from or related to your use of the Services.

10.2 Notification and Cooperation
Plexe AI will notify you promptly of any claim for which it seeks indemnification. You agree to cooperate fully with Plexe AI in the defence of any claim. Plexe AI reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you shall not settle any such matter without the written consent of Plexe AI.

10.3 Survival
Your indemnification obligations under this section will survive the termination or expiration of your account and these Terms.

11. Disclaimer of Warranties

11.1 General Disclaimer
To the fullest extent permitted by law, Plexe AI provides the Services, including all content, features, functionalities, and materials available on or through the Platform, on an "as-is" and "as-available" basis. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

11.2 No Guarantees
As an early-stage startup offering machine learning technologies, Plexe AI makes no warranties or representations that:

  • The Services will be uninterrupted, timely, secure, or error-free;

  • The results obtained from the use of the Services will be accurate, reliable, or effective;

  • Any errors or defects in the Services will be corrected;

  • The Services or servers that make the Services available are free of viruses or other harmful components.

11.3 Machine Learning Risks
You acknowledge that the use of the Services involves inherent risks associated with machine learning technologies, including variability, uncertainty, and unpredictability of outcomes. You assume sole responsibility for evaluating the accuracy, completeness, and suitability of the Services for your intended purposes.

11.4 Third-Party Content Disclaimer
Plexe AI shall have no responsibility for any third-party content, materials, software, or services provided via integration or connection to the Platform, and expressly disclaims any warranty or representation regarding the reliability or accuracy of such third-party materials.

11.5 Jurisdictional Limitations
Certain jurisdictions do not allow the disclaimer of particular warranties. Accordingly, some of the above disclaimers may not apply to you to the extent restricted or prohibited by applicable law.

12. General Terms

12.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

12.2 Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, and Data Processing Agreement (each as amended from time to time), and any Order Forms or other written agreements executed by both parties, constitute the entire agreement between you and Plexe AI Ltd with respect to the Services, and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral. All such documents are incorporated by reference into these Terms.

12.3 Amendments
We reserve the right to amend these Terms at any time. Any amendments will be communicated to you, and your continued use of the Services following such notice shall indicate your acceptance of the updated Terms.

12.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

12.5 No Waiver
No failure or delay by either party in exercising any right under these Terms will constitute a waiver of that right.

12.6 Assignment
You may not assign or transfer your rights or obligations under these Terms without Plexe AI’s prior written consent. Plexe AI may freely assign these Terms without restriction.

12.7 Notices
All notices required under these Terms must be in writing and delivered via email or postal mail to the addresses specified by each party.

12.8 Relationship of the Parties
Nothing in these Terms shall create or be deemed to create a partnership, agency, joint venture, or employment relationship between Plexe AI and you.

12.9 Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, governmental actions, wars, terrorism, labour disputes, failures in communication systems, or failures of third-party hosting providers or internet infrastructure.

12.10 Export Control and Sanction Compliance
You agree to comply with all applicable export control and economic sanctions laws and regulations, including those of the United Kingdom and the United States. You represent and warrant that you are not:

  • located in a country or territory that is subject to UK, US, or other applicable sanctions or embargoes; or

  • listed on any sanctions-related list maintained by HM Treasury, the US Office of Foreign Assets Control (OFAC), or any other relevant authority.

You must not access or use the Services in violation of any such laws or regulations, and you may not provide access to the Services to any persons or entities subject to these restrictions.

12.11 Governing Language
These Terms are drafted in English. If they are translated into any other language, the English version shall prevail in the event of any inconsistency or dispute.

12.12 Order of Precedence
In the event of any conflict or inconsistency between these Terms, a Data Processing Agreement, an Order Form, or any other contract between you and Plexe AI, the following order of precedence shall apply (unless expressly stated otherwise):

  1. Any signed Master Services Agreement (if applicable);

  2. Order Forms or other written commercial agreements;

  3. The Data Processing Agreement (DPA);

  4. These Terms of Service;

  5. Policies referenced in these Terms (e.g., Acceptable Use Policy, Privacy Policy).
